Asia Fruit Holdings Limited (“Asia Fruit” or the “Company”) is incorporated and has a registered office in Bermuda. Its business is mainly concentrated in China (“China”), that is, the base and processing plant for all of its plantations. The common shares of Asia Fruit Industry are permitted to be traded on the London Alternative Investment Market (regulated by the London Stock Exchange) and the Hong Kong Stock Exchange Limited. The Group is a large orange plantation owner and operator in China. Currently, it owns and operates two fresh orange plantations. One is the Hepu Plantation, which covers an area of about 31 square kilometers and is located in Hepu County, Guangxi Zhuang Autonomous Region; the other is the Xinfeng Plantation, which covers an area of about 37 square kilometers and is located in Xinfeng County, Jiangxi Province. Both are at the same latitude as Florida in the US, which is rich in fresh oranges. The Group's plantations have favorable conditions for growing fresh oranges in terms of temperature, sunshine, soil, moisture retention and topography. The Group currently cultivates and sells two types of oranges, namely winter oranges (including varieties such as navel oranges, Hamlin sweet oranges, and Hongjiang oranges) and summer oranges (mainly Vuring oranges), and sells fresh oranges to domestic supermarket chains, corporate customers and wholesalers. The entire Gappu plantation has now been developed, and about 1,200,000 orange trees have been planted. The Group has launched a replanting plan to replace existing winter orange trees with new varieties of summer orange trees, which are more resistant to diseases and have a higher yield. The Xinfeng Plantation has now been developed. Currently, about 1,280,000 orange trees have been planted. The orange trees at Xinfeng Plantation will reach the age of orange production one after another and will be able to contribute more production when ripe. The future production growth trend of this plantation will further improve the Group's overall supply of fresh oranges. The Group has developed a third plantation in Hunan Province, the Hunan Plantation, which covers an area of about 35 square kilometers and has about 1,800,000 orange and grapefruit trees. Beihai Guoxiangyuan Juice Co., Ltd. (“Guoxiangyuan”), a subsidiary of the Group, is a leading producer and seller of tropical fruit juice concentrate in China, processing more than ten kinds of tropical fruits, mainly pineapple, passion fruit, lychee, mango and papaya. The three production plants are located in Beihai City, Hepu County and Baise City in Guangxi. Guoxiangyuan has a number of registered patents and has passed the ISO 22000:2005 food safety system certification.
