China Ginkgo Education Group Limited (the “Company”) was incorporated as an exempted limited company in the Cayman Islands under the Cayman Islands Companies Act on March 23, 2018. Since its registration, the company has been an investment holding company. The Company, its subsidiaries and entities controlled by contractual arrangements (the “Group”) are a higher education service provider in Sichuan Province. The history of the Group can be traced back to 2002, when Mr. Fang, the founder of the Group, relied on his rich management experience in the restaurant industry and his vision to provide higher education services focused on cultivating talents with practical skills suitable for the modern service industry, so he cooperated with Chengdu University of Information Technology to host the Ginkgo Academy in Chengdu, Sichuan under the name of Ginkgo International Hotel Management School of Chengdu University of Information Technology. In 2004, with the approval of the Ministry of Education, the Ginkgo Hotel Management School of Chengdu University of Information Technology became an independent college. In 2010, the Chengdu Ginkgo Hotel Vocational Skills Training School was approved by the Chengdu Municipal Civil Affairs Bureau and the Chengdu Municipal Human Resources and Social Security Bureau. In June 2018, the Group entered into a contractual arrangement for restructuring. According to this, the Company obtained control of the Ginkgo Hotel Management School of Chengdu University of Information Technology and the Chengdu Ginkgo Hotel Vocational Skills Training School. In the 2017/2018 academic year, about 9,553 students enrolled in the Ginkgo Hotel Management School of Chengdu University of Information Technology. After more than ten years of development, the Group is committed to becoming the setter of talent training standards for the Chinese hotel management industry by adhering to the academic philosophy of “service development, knowledge and action”, with hotel management as its professional characteristics, adhering to the direction of multi-discipline and multi-professional coordinated development.
